Interim services agreement (outsourcing): drafting note

This drafting note relates to the specimen interim services agreement, an interim agreement which is sometimes used in an outsourcing transaction where a supplier has been selected to provide outsourcing services to the customer, and the parties are in the process of negotiating the outsourcing contract for these services, but where the final terms of this contract have yet to be agreed. In such circumstances, the supplier may need to carry out preliminary work or provide services before the terms of the outsourcing agreement have been finalised so that certain preparatory steps are taken, or work carried out quickly to keep the project on track.
